4. Formal Commercial Engagements

• Proposals & Scopes of Work: Advisory engagements commence only upon mutual signature of an official Statement of Work (SOW) or commercial contract detailing scope, deliverables, timeline, and fee schedule.
• Deliverable Turnarounds: Digital deliverables (audit reports, architecture schematics, technical roadmaps) are delivered electronically in accordance with our Digital Delivery Policy.
• Payment & Invoicing: Invoicing terms follow French commercial standards (net 30 days unless otherwise specified in the SOW). Late payment penalties apply pursuant to Article L441-10 of the French Commercial Code.

5. Confidentiality & Mutual Non-Disclosure

During the execution of technical diagnostics or architectural reviews, both parties agree to maintain strict confidentiality regarding proprietary source code, internal system topology, security configurations, and business processes, in accordance with applicable Non-Disclosure Agreements (NDAs).

6. Limitation of Liability

To the maximum extent permitted by French and European Law, ZA AGENCY and its directors shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use information published on this website, or independent architectural decisions made without our direct contractual oversight.

7. Applicable Law & Dispute Resolution

These Terms are governed by and construed in accordance with the substantive laws of France. Any dispute, claim, or controversy arising out of or relating to these Terms or consulting services shall be submitted to the exclusive jurisdiction of the competent commercial courts in the jurisdiction of Nanterre / Hauts-de-Seine, France.
